IT Minnesota Terms of Service

Effective Date: June 15, 2026

1. Acceptance of Terms

This Terms of Service (“Terms”) agreement is a legally binding contract between you or the entity you represent (“Client” or “you”) and IT Minnesota, (“IT Minnesota,” “we,” “us,” or “our”). By purchasing, signing up for, or using any of our products, managed services, or consulting services (collectively, the “Services”), you agree to be bound by these Terms.

Our Services are diverse, and in some cases additional terms, including a Master Service Agreement (“MSA”) or Statement of Work (“SOW”), may apply. If there is any conflict, the applicable MSA or SOW will control.

2. Scope of Services

IT Minnesota, provides Managed IT Services, which may include but are not limited to:

– Managed Cloud Services, including administration and support for platforms such as Microsoft 365 and Nextcloud

– Remote Management and Monitoring (RMM) services

– Help Desk and Technical Support, provided remotely or on‑site

– IT Consulting and Strategy

– Hardware and Software procurement and licensing

The exact scope, deliverables, and service levels are defined in the applicable MSA or SOW.

3. Client Responsibilities

To allow IT Minnesota, to provide the Services effectively, you agree to:

Access: Provide timely access to systems, networks, documentation, and personnel as reasonably necessary.

Data Backup: Unless expressly included in your agreement, you are solely responsible for maintaining independent backups of your data.

Third‑Party Policies: Comply with the terms and licensing requirements of third‑party software, platforms, and services managed or supported by  IT Minnesota,.

Acceptable Use: Not misuse the Services, interfere with operations, attempt unauthorized access, or use the Services for unlawful purposes.

4. Payment and Billing

Fees: All fees are as specified in the applicable MSA, SOW, or invoice and are quoted in U.S. Dollars unless otherwise stated.

Billing: Recurring services are generally billed in advance. Project‑based work is billed according to the applicable SOW.

Late Payments: Unpaid balances may accrue interest at 1.5% per month or the maximum rate permitted by law.

Service Suspension: IT Minnesota, reserves the right to suspend Services for accounts more than thirty (30) days past due.

5. Term and Termination

Term: The initial term and renewal terms are defined in the applicable MSA or SOW.

Termination for Cause: Either party may terminate for material breach if such breach is not cured within thirty (30) days of written notice.

Effect of Termination: Upon termination, all outstanding fees become immediately due. IT Minnesota, will reasonably cooperate in transitioning services, subject to applicable fees.

6. Confidentiality

Each party agrees to protect the other’s Confidential Information and use it solely for providing or receiving Services, unless disclosure is required by law.

7. Data Ownership and Security

Your Content: You retain ownership of all data and content you provide.

Our Access: You grant IT Minnesota, a limited license to access and process data solely to deliver and support the Services.

Security and Privacy: Data is handled in accordance with these Terms and the IT Minnesota, Privacy Policy. Service‑related communications may include SMS messages as described in Section 12.

By allowing us to remotely access your computer equipment, you agree to the following terms and conditions:

Permission to Remotely Access Computer, Network, Hardware, Software and/or Stored Data. This document specifically grants IT Minnesota permission and passage to access client’s computer and data networks, hardware, programs, and stored data files. This access is granted to facilitate the evaluation of the state of the computer, its programs, settings, and data to determine what problems may need to be corrected. IT Minnesota, may troubleshoot, evaluate, run programs or install/uninstall software, reconfigure and/or otherwise perform service or technical support work on said computer, any network or equipment that is attached, either directly or through an internal network. IT Minnesota, may make any changes that they determine are necessary to Increase the performance of the computer equipment and/or to alleviate the problem at hand or any other problem discovered during IT Minnesota, remote evaluation and assistance.

This permission is granted fully, without limit and willfully by remote support client, and said evaluation takes place at client’s direct request. In no event shall IT Minnesota, be liable for any data loss, either currently or previously stored on any computing equipment at client’s home or on client’s business network, further clarifying and affirming the separation of liability authorized and executed by client. By allowing IT Minnesota, to remote in, client agrees to all these terms and conditions.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. To the maximum extent permitted by applicable law, in no event shall IT Minnesota, or its employees, or its assigns be liable for any damages whatsoever (including without limitation, direct or indirect damages for personal injury, loss of business profits, business interruptions, loss of business information or any other real or pecuniary loss) arising out of IT Minnesota, access to client’s computer(s) or network(s), even if IT Minnesota and its employees or assigns have been advised of the possibility of such damages. In any potential litigation IT Minnesota. entire liability under any provision of this agreement shall be limited to the amount actually paid by you to LF Companies, LLC. for remote assistance services during this service call event.

IN NO EVENT SHALL LF COMPANIES, LLC. AND/OR ITS EMPLOYEES OR OFFICERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTUOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF ANY SOFTWARE, OUR TECHNICAL SUPPORT, FAILURE TO PROVIDE SERVICES, ANY LOSS OF DATA OR USE OF YOUR COMPUTER EQUIPMENT.

This agreement shall be governed by the laws of the state of Minnesota and shall inure to the benefit of LF Companies, LLC. and any successors, administrators, contractors, heirs, and assigns. Any action or proceeding brought by either party against the other arising out of or related to this agreement shall be brought only in a STATE or FEDERAL COURT of competent jurisdiction located in Scott County, Minnesota. The terms of this agreement may be modified at the sole discretion of LF Companies, LLC. without notice.

8. Warranties and Disclaimers

IT Minnesota, provides Services using commercially reasonable skill and care.

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LF COMPANIES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless IT Minnesota, and its affiliates from claims arising from your use of the Services or violation of these Terms.

11. General Provisions

Modifications: Terms may be updated from time to time and posted on our website.

Governing Law: These Terms are governed by the laws of the State of Minnesota.

Entire Agreement: These Terms, together with the Privacy Policy and any MSA or SOW, form the entire agreement.

Severability: If any provision is unenforceable, the remaining provisions remain in effect.

12. SMS & Text Messaging Communications

IT Minnesota, may communicate with clients via SMS text messaging, including messages sent through Microsoft Teams, Nextcloud Talk or Slack solely for service‑related and support purposes.

12.1. Purpose of SMS Communications

SMS messages may include:

– Responses to client‑initiated support requests

– Service updates related to active support tickets

– Scheduling or coordination related to contracted services

IT Minnesota, does not use SMS messaging for marketing, advertising, promotions, or bulk campaigns.

12.2. Consent to Receive SMS Messages

By providing a mobile phone number to IT Minnesota or initiating an SMS conversation with an IT Minnesota, phone number, you consent to receive one‑to‑one, conversational SMS messages related to the Services you have requested.

12.3. Opt‑Out and Help Instructions

You may opt out at any time by replying:

– STOP to end SMS messages

– START to resume messages

– HELP for assistance or contact information

These commands are processed automatically in accordance with carrier and industry requirements.

Message frequency varies based on service activity. 

Message and data rates may apply.

12.4. Privacy and Data Use

SMS communications are governed by the IT Minnesota Privacy Policy. IT Minnesota does not sell or share mobile numbers or SMS content for marketing or advertising purposes.
